1. Acceptance of Terms
By accessing www.qarctech.com or using any QARC TECH service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use our services.
2. Services
QARC TECH provides enterprise AI consulting, custom AI development, intelligent automation, data analytics, cloud AI infrastructure, and managed AI operations. Specific service terms, deliverables, timelines, and fees are defined in a separate written agreement (MSA/SOW) between you and QARC TECH.
3. Eligibility
You must be at least 18 years old and have legal authority to enter into binding contracts on behalf of yourself or your organization to use our services.
4. Intellectual Property
4.1 Our IP
All content on qarctech.com — including text, graphics, logos, designs, code, software, and the "QARC TECH" name — is owned by or licensed to QARC TECH and protected by intellectual property laws.
4.2 Your IP
You retain all rights to data, materials, and information you provide to us. By engaging us, you grant QARC TECH a limited license to use such materials solely to perform the contracted services.
4.3 Deliverables
Ownership of custom deliverables is defined in the applicable SOW. Pre-existing QARC TECH tools, frameworks, and libraries remain our property and are licensed to you for ongoing use of the delivered solution.
5. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose or to violate any applicable law.
- Reverse-engineer, decompile, or attempt to extract source code of our proprietary software.
- Use automated means (bots, scrapers) to access our website without written permission.
- Interfere with or disrupt the integrity, security, or performance of our services.
- Transmit viruses, malware, or harmful code.
- Resell, sublicense, or redistribute our services without written authorization.
6. Fees & Payment
Fees for services are defined in the applicable SOW or quote. Unless otherwise stated, invoices are due net-30 from the invoice date. Late payments may incur interest at 1.5% per month or the maximum permitted by law, whichever is lower. All fees are exclusive of applicable taxes.
7. Confidentiality
Both parties may receive confidential information. Each party agrees to protect the other's confidential information using reasonable measures and use it only for purposes contemplated by the engagement. Confidentiality obligations survive termination.
8. Warranties & Disclaimers
We warrant that services will be performed in a professional manner consistent with industry standards. Except as expressly stated, all services and the website are provided "AS IS" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. AI outputs are probabilistic and may contain errors; you are responsible for human review of AI-generated results before relying on them.
9. Limitation of Liability
To the maximum extent permitted by law, QARC TECH's total aggregate liability for any claim arising from these terms or our services is limited to the fees paid by you to QARC TECH in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.
10. Indemnification
You agree to indemnify and hold QARC TECH harmless from claims, damages, and expenses arising from (a) your misuse of services, (b) your violation of these terms, or (c) your violation of third-party rights.
11. Termination
Either party may terminate engagement per the applicable SOW. We may suspend or terminate access to the website immediately if you breach these terms. Sections on IP, Confidentiality, Payment, Warranties, Liability, Indemnification, and Governing Law survive termination.
12. Modifications
We may modify these terms at any time by posting the updated version on this page with a new "Last Updated" date. Material changes will be communicated to active clients. Continued use after changes constitutes acceptance.
13. Governing Law & Jurisdiction
These terms are governed by the laws of India. Any disputes will be resolved exclusively in the courts of Coimbatore, Tamil Nadu, India — except where prohibited by mandatory local law.
